Peter Mattocks focuses his practice on advising nonprofit organizations on tax and corporate matters, including organizational formation and governance, 501(c) tax-exempt status and ongoing compliance, grant programs, charitable solicitation, program-related investments, excess benefit transactions, and complex organizational structures, transactions, and transitions. Peter also practices in the estate planning area and works with clients on charitable planning and the modification of charitable trusts, among other matters.
Peter has significant experience working with philanthropic and other tax-exempt organizations on compliance with state nonprofit statutes, development of board governance policies and practices, handling conflicts of interest, managing outgoing grants, negotiating contracts with various third parties, and corporate dissolutions. Peter often works with clients on “spinning off” programs from one nonprofit organization to another.
Peter serves as outside general counsel to several private foundations and often advises these clients on complex grants, including grants to foreign organizations.
Peter previously served as Associate General Counsel at the U.S. Chamber of Commerce and the U.S. Chamber of Commerce Foundation. Peter supported the U.S. Chamber of Commerce Foundation in program design, corporate governance, risk analysis, and developing and implementing training programs. In this role, Peter also served as an officer of the U.S. Chamber of Commerce Foundation’s Board of Directors and was a member of the Foundation’s leadership team.
While attending law school, Peter worked full-time at Morgan, Lewis & Bockius LLP in Washington, D.C., in the tax-exempt organizations group. Before law school, Peter worked at Weil, Gotshal & Manges LLP in Washington, D.C., in the tax-exempt organizations area and in government relations, with a focus on investment funds organized as 501(c)(3) organizations and funded by the U.S. Agency for International Development.
Peter lives in Hillsborough with his wife, Brooke, and their three children, Jack, Walt, and Cal. He enjoys exploring the North Carolina mountains, cold plunging, playing tennis, and spending time with his family.
